1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Mirrifi, LLC, an Arizona limited liability company ("Mirrifi," "we," "us," or "our"), governing your access to and use of the mirrifi.com website and all associated services (collectively, the "Platform").

By registering for an account, clicking to accept, or otherwise using the Platform, you represent that you are at least 18 years of age and have the legal authority to enter into this agreement.

2. Services Description
Mirrifi provides AI-powered digital marketing services, including the creation of AI-generated video content, digital likeness replication, and social media content distribution on behalf of clients. Specific deliverables, content volumes, and publishing schedules are defined in the service plan associated with your account.

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with reasonable notice where practicable.

3. Account Registration
To access Mirrifi's services, you must create an account by providing accurate, current, and complete information including your name, email address, and phone number. You are responsible for:

Maintaining the confidentiality of your login credentials.
All activity that occurs under your account.
Notifying us immediately at privacy@mirrifi.com if you suspect unauthorized access to your account.
You may not share your account credentials or allow others to use your account. Accounts are non-transferable.

4. Likeness and Voice Authorization
Important: This section governs our use of your personal likeness, voice, and biometric data. Please read it carefully.
As part of the onboarding process, you provide explicit authorization for Mirrifi to use your uploaded photos, videos, and voice recordings to create AI-generated content. By completing the authorization process, you confirm that:

All files you upload are of yourself, and you own or hold full rights to those files.
You grant Mirrifi and its AI processing sub-processors a limited, non-exclusive license to use your uploaded media solely for the purpose of creating AI-generated marketing content for your account.
You will not upload images, video, or voice recordings of any other person without that person's explicit written authorization.
All content generated using your likeness and voice must comply with applicable platform policies, laws, and acceptable use standards.
This license is limited to your account and does not grant Mirrifi the right to use your likeness for any purpose outside of your contracted services. You may revoke this authorization at any time by contacting privacy@mirrifi.com, provided that revocation will terminate our ability to deliver services.

Prohibited Uploads
You are strictly prohibited from uploading content that includes the likeness, voice, or image of any third party without their explicit written consent. Violation of this provision may result in immediate account termination and potential legal liability.

5. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not use the Platform to:

Create content that is defamatory, harassing, obscene, or otherwise unlawful.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Upload content that infringes upon the intellectual property, privacy, or other rights of any third party.
Violate the terms of service of any social media platform to which content is distributed.
Attempt to reverse engineer, scrape, or otherwise extract data from the Platform.
Use the Platform in any manner that could damage, disable, or overburden our infrastructure.
Use AI-generated content to deceive, defraud, or mislead any person in a material way.
6. Content Ownership & Intellectual Property
Your Content
You retain ownership of all original media files you upload to the Platform. The limited license you grant us (described in Section 4) is solely for service delivery and does not constitute a transfer of ownership.

Generated Content
AI-generated video and social media content produced by Mirrifi on your behalf is delivered to you for your use in marketing your business. Upon full payment of applicable fees, you are granted a non-exclusive right to use that content for your personal and business marketing purposes.

Mirrifi Intellectual Property
All technology, software, workflows, branding, and platform infrastructure underlying the Mirrifi Platform are the exclusive property of Mirrifi, LLC. Nothing in these Terms grants you any rights to our intellectual property beyond the limited license to use delivered content as described above.

7. Payment Terms
Mirrifi's services are provided on a subscription or project basis as specified in your service plan. By providing payment information, you authorize us to charge your selected payment method through our third-party payment processor.

Subscription fees are billed in advance on the applicable billing cycle.
Failed payments may result in service suspension. You will be notified and given a reasonable opportunity to update billing information.
Refunds are generally not provided for completed content deliverables or for subscription periods already in progress. Exceptions are handled on a case-by-case basis at Mirrifi's discretion.
Price changes will be communicated with at least 30 days' notice before taking effect.
All fees are in U.S. dollars. You are responsible for any applicable taxes.

8. AI-Generated Content
You acknowledge that the content delivered by Mirrifi is generated using artificial intelligence and may not be perfect. You agree that:

You will review all AI-generated content before publishing it publicly.
You are solely responsible for ensuring that published content is accurate, compliant with applicable laws, and appropriate for your intended audience.
AI-generated content may require editing or replacement if it does not meet technical or quality standards.
Mirrifi does not guarantee specific performance outcomes (impressions, leads, sales) from AI-generated content.
The evolving nature of AI regulation means requirements may change. We will make reasonable efforts to keep our platform compliant with applicable law.

9. Third-Party Platforms
Mirrifi may publish content to third-party social media platforms (such as Facebook, Instagram, LinkedIn, and others) on your behalf, subject to your authorization and the terms of those platforms. You acknowledge that:

We are not responsible for the policies or actions of third-party platforms.
Content may be rejected, removed, or restricted by those platforms.
You remain responsible for compliance with all applicable platform terms of service.
10. Disclaimers
THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MIRRIFI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIRRIFI, LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL MIRRIFI'S TOTAL LIABILITY TO YOU EXCEED THE TOTAL FEES PAID BY YOU TO MIRRIFI IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification
You agree to indemnify, defend, and hold harmless Mirrifi, LLC and its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) the content you upload, including any unauthorized use of a third party's likeness or voice.

13. Termination
Either party may terminate the service relationship with written notice per the terms of your service agreement. Mirrifi reserves the right to suspend or terminate your account immediately and without notice for material violations of these Terms, including unauthorized uploads of third-party likenesses, non-payment, or abusive conduct.

Upon termination, your right to use the Platform ceases. Provisions that by their nature should survive termination (including Sections 6, 11, 12, and 14) shall survive.

14. Governing Law & Disputes
These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Arizona under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and notify you by email at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes your acceptance of the updated Terms.
